1. Introduction and Acceptance
1.1 Agreement
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and Visian Systems Limited, a company registered in England and Wales (trading as TPSCheck) (“TPSCheck”, “we”, “us”, or “our”), governing your access to and use of the TPSCheck.uk website, application programming interface (“API”), and related services (collectively, the “Service”).
1.2 Acceptance
By accessing or using the Service, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1.3 Eligibility
The Service is intended for business use only. By using the Service, you represent and warrant that:
(a) You are at least 18 years of age;
(b) You are acting in a business capacity and not as a consumer;
(c) You have the legal capacity and authority to enter into these Terms;
(d) Your use of the Service complies with all applicable laws, including the Privacy and Electronic Communications (EC Directive) Regulations 2003 (“PECR”) and the UK General Data Protection Regulation (“UK GDPR”).
2. Description of Service
2.1 Service Overview
TPSCheck provides an API-based service that enables businesses to:
(a) Check telephone numbers against the UK Telephone Preference Service (TPS) register;
(b) Check telephone numbers against the UK Corporate Telephone Preference Service (CTPS) register;
(c) Obtain telephone line intelligence including line type (mobile/landline), carrier information, and geographic data where available;
(d) Process single or batch telephone number lookups;
(e) Monitor usage and subscription status.
2.2 Purpose
The Service is designed to assist businesses in complying with PECR and other applicable regulations by identifying telephone numbers registered on the TPS and CTPS registers before conducting direct marketing activities.
2.3 Data Sources
TPS and CTPS data is obtained from official sources and updated regularly. Line intelligence data is sourced from telecommunications databases and carrier information services.
2.4 Service Limitations
The Service is provided as a compliance tool to assist with your regulatory obligations. The Service does not:
(a) Provide legal advice;
(b) Guarantee complete regulatory compliance;
(c) Replace your obligation to maintain your own do-not-call records;
(d) Remove the requirement for appropriate consent where applicable.
3. Account Registration and Security
3.1 Account Creation
To access the Service, you must create an account by providing accurate, current, and complete information. You agree to update this information promptly if it changes.
3.2 API Keys
Upon registration, you will receive API credentials (“API Key”). You are responsible for:
(a) Maintaining the confidentiality of your API Key;
(b) All activities that occur under your account or API Key;
(c) Notifying us immediately of any unauthorised use or security breach;
(d) Ensuring your API Key is not shared with unauthorised parties or embedded in client-side code.
3.3 Account Security
You must implement reasonable security measures to protect your account credentials and API Key. We reserve the right to suspend or terminate your account if we reasonably believe your credentials have been compromised.
3.4 Account Responsibility
You are solely responsible for all activity that occurs under your account, including any actions taken by your employees, contractors, or agents who have access to your account.
4. Subscription Plans and Pricing
4.1 Plans
The Service is offered under the following subscription tiers:
(a) Free Plan: Up to 50 API requests per month at no charge;
(b) Starter Plan: Up to 10,000 API requests per month;
(c) Pro Plan: Up to 50,000 API requests per month;
(d) Growth Plan: Up to 150,000 API requests per month;
(e) Business Plan: Up to 500,000 API requests per month;
(f) Enterprise Plan: Custom volume agreements.

4.2 Request Counting
Each telephone number submitted to the /check endpoint counts as one (1) API request. For batch submissions to the /batch endpoint, each telephone number within the batch counts as one (1) API request. Requests to the /credits endpoint do not count against your allocation.
4.3 Unused Requests
Monthly request allocations do not roll over to subsequent billing periods. Unused requests expire at the end of each billing cycle.
4.4 Overage
If you exceed your monthly request allocation:
(a) Free Plan users will receive an error response until the next billing cycle;
(b) Paid plan users may purchase additional credits or upgrade their plan;
(c) We may, at our discretion, allow temporary overage with charges applied at pay-as-you-go rates.
4.5 Plan Changes
You may upgrade your plan at any time, with the new plan taking effect immediately. Downgrades take effect at the start of the next billing cycle. No refunds are provided for downgrades within a billing period.
5. Payment Terms
5.1 Fees
Fees for paid plans are as stated on our pricing page at the time of subscription. All fees are:
(a) Quoted in British Pounds Sterling (GBP);
(b) Exclusive of Value Added Tax (VAT) which will be added at the applicable rate;
(c) Non-refundable except as expressly stated in these Terms.
5.2 Billing
(a) Monthly Plans: Billed in advance on a monthly basis from the date of subscription;
(b) Annual Plans: Billed in advance for the full year from the date of subscription;
(c) Pay-as-you-go Credits: Charged at the time of purchase.
5.3 Payment Methods
We accept payment by credit card, debit card, or such other methods as we may make available. You authorise us to charge your designated payment method for all fees due.
5.4 Failed Payments
If a payment fails, we will attempt to process the payment again. If payment continues to fail:
(a) We may suspend your access to the Service;
(b) Your account may be downgraded to the Free Plan;
(c) We reserve the right to pursue collection of outstanding amounts.
5.5 Price Changes
We may change our prices at any time. Price changes for existing subscriptions will take effect at the start of the next billing cycle following 30 days’ notice via email.
5.6 Invoicing
VAT invoices are available through your account dashboard or upon request. We are registered for VAT in the United Kingdom.
6. API Usage and Technical Requirements
6.1 API Access
Access to the API is provided via authenticated HTTPS requests. You must:
(a) Include your API Key in the Authorization header of each request;
(b) Use only the documented API endpoints;
(c) Implement proper error handling in your integration;
(d) Respect rate limits and usage guidelines.
6.2 Rate Limits
To ensure fair usage and system stability, rate limits apply:
(a) Free Plan: 10 requests per minute;
(b) Starter Plan: 60 requests per minute;
(c) Pro Plan: 120 requests per minute;
(d) Business Plan: 300 requests per minute;
(e) Enterprise Plan: Custom rate limits as agreed.
Requests exceeding rate limits will receive an HTTP 429 response. You must implement appropriate backoff and retry logic.
6.3 Batch Limits
The /batch endpoint accepts:
(a) Up to 100 telephone numbers per request for Free and Starter plans;
(b) Up to 500 telephone numbers per request for Pro and Business plans;
(c) Custom batch limits for Enterprise plans.
6.4 Technical Requirements
You are responsible for:
(a) Maintaining compatible systems and software;
(b) Ensuring adequate internet connectivity;
(c) Updating your integration in response to API changes;
(d) Testing your integration before production use.
6.5 API Changes
We may update, modify, or deprecate API features. We will provide reasonable notice of material changes. Deprecated features will be supported for at least 90 days following deprecation notice.
7. Acceptable Use
7.1 Permitted Use
You may use the Service only for lawful business purposes, specifically:
(a) Checking telephone numbers against TPS/CTPS registers for telemarketing compliance;
(b) Obtaining telephone line intelligence to support legitimate business communications;
(c) Maintaining compliance records and audit trails;
(d) Integrating the Service into your business systems and workflows.
7.2 Prohibited Use
You must not use the Service to:
(a) Violate any applicable law, regulation, or third-party rights;
(b) Engage in or facilitate unsolicited marketing calls, spam, or harassment;
(c) Resell, redistribute, or sublicense the Service or API data without authorisation;
(d) Reverse engineer, decompile, or attempt to extract source code;
(e) Interfere with or disrupt the Service or its infrastructure;
(f) Circumvent rate limits, authentication, or security measures;
(g) Store, cache, or replicate TPS/CTPS data beyond immediate operational needs;
(h) Use automated scripts to create multiple free accounts;
(i) Submit false, fraudulent, or misleading information;
(j) Infringe intellectual property rights.

7.3 Compliance Responsibility
You remain solely responsible for your compliance with PECR, UK GDPR, and all other applicable regulations. The Service is a tool to assist compliance; it does not guarantee compliance.
7.4 28-Day Re-check Requirement
Under PECR guidance, TPS/CTPS status should be verified within 28 days before making a direct marketing call. You are responsible for implementing appropriate re-check procedures.
8. Service Level Agreement
8.1 Uptime Commitment
For Business and Enterprise plan customers, we commit to 99.9% monthly uptime (“Uptime Commitment”). Uptime is calculated as:
(Total Minutes in Month - Downtime Minutes) / Total Minutes in Month x 100
8.2 Measurement
Uptime is measured by our monitoring systems. Downtime means the Service is unavailable for API requests, excluding:
(a) Scheduled maintenance (with 48 hours’ notice);
(b) Force majeure events;
(c) Issues caused by your systems, network, or third parties;
(d) Suspension due to breach of these Terms;
(e) Features in beta or preview status.
8.3 Service Credits
If we fail to meet the Uptime Commitment, eligible customers may claim service credits:

8.4 Claiming Credits
To claim service credits:
(a) Submit a claim within 30 days of the incident;
(b) Provide dates and times of unavailability;
(c) Claims are subject to verification against our monitoring data.
Service credits are applied to future invoices and are not redeemable for cash. Maximum credits per month shall not exceed 50% of that month’s fees.
8.5 Free, Starter, and Pro Plans
The Uptime Commitment and service credits do not apply to Free, Starter, or Pro plans. We will use reasonable efforts to maintain availability but provide no uptime guarantees for these plans.
9. Data and Privacy
9.1 Data Processing
When you submit telephone numbers to the Service:
(a) Numbers are processed in real-time against TPS/CTPS registers;
(b) For plans that include audit logs (Pro, Business, and Enterprise), telephone numbers, check results, and timestamps are retained in accordance with the retention periods specified in our Privacy Policy;
(c) For Free and PAYG plans, numbers are not stored after processing is complete;
(d) We retain metadata necessary for billing and service operation.
9.2 Privacy Policy
Our collection and use of personal data is governed by our Privacy Policy at https://tpscheck.uk/privacy, which forms part of these Terms.
9.3 Data Processing Agreement
Where we process personal data on your behalf, the Data Processing Agreement at https://tpscheck.uk/dpa applies and forms part of these Terms.
9.4 Your Data Obligations
You represent and warrant that:
(a) You have a lawful basis for processing telephone numbers submitted to the Service;
(b) You will use the Service results in accordance with applicable data protection laws;
(c) You will maintain appropriate records of your compliance activities.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its software, APIs, documentation, website, trademarks, and all related intellectual property, remains the exclusive property of TPSCheck. These Terms grant you no rights to our intellectual property except the limited licence to use the Service.
10.2 Licence Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription.
10.3 Restrictions
You may not:
(a) Copy, modify, or create derivative works of the Service;
(b) Sublicense, sell, or transfer your rights to the Service;
(c) Remove or alter any proprietary notices;
(d) Use our trademarks without written permission.
10.4 Feedback
If you provide suggestions, ideas, or feedback about the Service, we may use such feedback without restriction or obligation to you.
11. Data Accuracy and Disclaimers
11.1 Data Accuracy
We endeavour to provide accurate and up-to-date TPS/CTPS data. However:
(a) TPS/CTPS registration status may change between checks;
(b) There may be delays in data propagation from official registers;
(c) Line intelligence data is provided on an “as available” basis;
(d) We do not guarantee 100% accuracy of any data provided.
11.2 No Warranty
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
(a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
(b) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
(c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF DATA.
11.3 Compliance Disclaimer
The Service is designed to assist with regulatory compliance but does not guarantee compliance. You are solely responsible for:
(a) Understanding and complying with applicable regulations;
(b) Maintaining consent records where required;
(c) Keeping your own do-not-call lists;
(d) Implementing appropriate compliance procedures.
12. Limitation of Liability
12.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TPSCHECK SHALL NOT BE LIABLE FOR:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(b) LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS;
(c) LOSS OF DATA OR GOODWILL;
(d) COST OF PROCUREMENT OF SUBSTITUTE SERVICES;
(e) REGULATORY FINES OR PENALTIES IMPOSED ON YOU;
WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(a) THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(b) ONE HUNDRED POUNDS STERLING (£100).
12.3 Essential Basis
The limitations and exclusions in this Section 12 reflect the allocation of risk between the parties and are an essential basis of the bargain between us. The Service would not be provided without these limitations.
12.4 Statutory Rights
Nothing in these Terms excludes or limits our liability for:
(a) Death or personal injury caused by our negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Any other liability that cannot be excluded by applicable law.
13. Indemnification
13.1 Your Indemnification
You agree to indemnify, defend, and hold harmless TPSCheck, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
(a) Your use of the Service;
(b) Your breach of these Terms;
(c) Your violation of any applicable law or regulation;
(d) Your infringement of any third-party rights;
(e) Your telemarketing or other communications activities;
(f) Any regulatory investigation, action, or penalty related to your activities.
13.2 Procedure
We will provide reasonable notice of any claim and cooperate in the defence. You may not settle any claim without our prior written consent.
14. Term and Termination
14.1 Term
These Terms commence upon your acceptance and continue until terminated in accordance with this Section.
14.2 Termination by You
You may terminate your account at any time by:
(a) Cancelling your subscription through your account dashboard; or
(b) Contacting us at support@tpscheck.uk.
Termination takes effect at the end of the current billing period. No refunds are provided for unused portions of prepaid subscriptions.
14.3 Termination by Us
We may suspend or terminate your account immediately if:
(a) You breach these Terms;
(b) You fail to pay fees when due;
(c) We reasonably believe your use threatens the Service or other users;
(d) We are required to do so by law;
(e) Your account shows no activity for 12 consecutive months.
14.4 Effect of Termination
Upon termination:
(a) Your right to access the Service ends immediately;
(b) Your API Key is deactivated;
(c) You must cease all use of the Service;
(d) Provisions that by their nature should survive (including Sections 10-13) will survive.
14.5 Data Retention
Following termination, we will retain your account data for up to 90 days to allow reactivation. After this period, account data will be deleted, subject to any legal retention requirements.
15. Suspension
15.1 Right to Suspend
We may suspend your access to the Service, in whole or in part, if:
(a) You are in material breach of these Terms;
(b) Your account is overdue for payment;
(c) We detect unusual activity suggesting security compromise;
(d) Your use is causing harm to the Service or other users;
(e) Suspension is required by law or court order.
15.2 Notice
Where practicable, we will provide notice before or promptly after suspension. Emergency suspensions may occur without prior notice.
15.3 Resumption
We will restore access once the issue causing suspension is resolved, provided you remain in compliance with these Terms.
16. Modifications to Terms
16.1 Changes
We may modify these Terms at any time. Material changes will be notified to you via email or prominent notice on our website at least 30 days before taking effect.
16.2 Continued Use
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to changes, you must stop using the Service and terminate your account.
16.3 Version History
Previous versions of these Terms are available upon request.
17. Governing Law and Disputes
17.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
17.2 Jurisdiction
The courts of England and Wales have exclusive jurisdiction over any dispute arising from or related to these Terms, except where you are entitled to bring proceedings in another jurisdiction under mandatory consumer protection laws (though these Terms are intended for business use only).
17.3 Dispute Resolution
Before initiating legal proceedings, you agree to attempt to resolve disputes by contacting us at legal@tpscheck.uk. We will attempt to resolve disputes within 30 days.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, and any order forms or service agreements, constitute the entire agreement between you and TPSCheck regarding the Service.
18.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
18.4 Assignment
You may not assign or transfer these Terms or your rights without our written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
18.5 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, internet failures, or government actions.

18.7 Relationship
These Terms do not create a partnership, joint venture, agency, or employment relationship between you and TPSCheck.
18.8 Third-Party Rights
These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
